By accessing the website or using a RaySys service, you accept these terms. A proposal, order, license or contract signed with a customer may establish additional conditions and will govern that service in the event of a conflict.
1. Service
RaySys provides business management tools that may include inventory, sales, point of sale, purchasing, finance, accounting, reporting, integrations and electronic invoicing. Some capabilities depend on the plan, cloud or local deployment, customer configuration and third-party services.
2. Accounts and access
- You must provide accurate information and keep it current.
- You are responsible for protecting your credentials and reporting unauthorized access.
- Accounts are personal unless the contract expressly authorizes a technical or shared account.
- Access to a company does not automatically grant operational permissions; those depend on roles configured by that organization.
- We may apply additional authentication, attempt limits and other reasonable security measures.
3. Acceptable use
You agree not to:
- Use RaySys for illegal or fraudulent activity, or to infringe third-party rights.
- Attempt to breach, bypass or disable security, licensing, permission or company-isolation controls.
- Interfere with service availability through abusive automation, malware or deliberately harmful loads.
- Copy, resell, decompile or exploit protected components except where mandatory law permits it.
- Enter information that you are not authorized or legally entitled to process.
4. Customer data
The customer retains its rights in information uploaded to RaySys and is responsible for its accuracy, lawful use, contractually assigned backups and user permissions. The customer authorizes us to process that information as needed to provide, protect and support the service.

5. Billing, taxation and integrations
RaySys facilitates tax and business processes, but the customer remains responsible for reviewing its data, receipts, taxes, authorizations and legal obligations. The software does not replace professional accounting, tax or legal advice.
Services such as DGII, Google, Microsoft, email providers, networks and payment gateways operate under their own terms and may experience interruptions or changes beyond RaySys's reasonable control.
6. Availability, support and changes
We seek to keep the service available and secure, but maintenance, failures, updates or third-party events may occur. Committed support, backup and availability levels are only those defined in the applicable plan or contract.
We may improve, replace or retire features while seeking to avoid unreasonable impact on contracted capabilities and to communicate material changes when appropriate.
7. Intellectual property
RaySys, its code, design, brand, documentation and related components are protected by applicable law. These terms grant only the limited right to use the contracted service or license; they do not transfer ownership of the software or brand.
8. Payments, suspension and termination
Prices, taxes, billing cycles, renewals and cancellations are defined in the accepted proposal or plan. We may limit or suspend access for nonpayment, security risk, illegal use or material breach, subject to applicable conditions and notices.
The right of use ends when the service terminates. Data processing, export or deletion will follow the contract, Privacy Policy and applicable legal obligations.
9. Warranties and liability
RaySys is provided with the level of care and warranties expressly assumed in the applicable contract. To the extent permitted by law, we do not warrant that every function will be uninterrupted or that an external service will remain available.
Each party is responsible for damages legally attributable to it. Any additional exclusion or financial limitation must be stated in the commercial contract and will not reduce rights that mandatory law does not allow a party to waive.
10. Governing law and contact
Unless a contract establishes another valid jurisdiction, these terms are governed by the laws of the Dominican Republic. Before filing a formal claim, the parties will seek to resolve it in good faith through direct contact.
